Web Design Contract

1. Parties Involved:

This Web Design Contract (the "Contract") is entered into on March 16, 2025, by and between Skyline Web Productions (the "Designer") and the Client.

2. Scope of Work:

The Designer agrees to provide the following services:

  • Designing and developing a website for the Client.
  • The Designer will integrate the website with WordPress.
  • Ensuring that the website is mobile-responsive and optimized for different devices.
  • Providing initial SEO optimization to improve search engine rankings.

3. Deliverables:

  • The Designer will retain ownership of all source files, including HTML/CSS files, images, and other relevant files, until full payment is received.

4. Payment Terms:

  • The total cost for the web design project is $500.00.
  • The Client agrees to pay a non-refundable deposit of $250.00 upon signing this Contract.
  • The remaining balance of $250.00 will be due upon completion and delivery of the final website.
  • Late payments will incur a fee of 5% of the outstanding balance per week.
  • All payments are to be made via bank transfer or any other mutually agreed method.

5. Revisions and Feedback:

  • The Designer will provide up to 3 rounds of revisions at no additional cost.
  • Additional revisions will be billed at $75.00/hour.
  • Feedback and revision requests must be provided within 1 day after each deliverable is presented.
  • The Designer will make every effort to incorporate feedback and deliver revisions promptly.

6. Intellectual Property:

  • The Designer retains ownership of all design and code until full payment is received. Upon full payment, the Client will receive a limited license to use the design and code for the intended purpose.
  • The Client agrees not to reproduce, distribute, or create derivative works from the design without the Designer's prior written consent.

7. Confidentiality:

Both parties agree to keep all project-related information confidential and not disclose it to any third parties without prior written consent.

8. Termination:

  • Either party may terminate this Contract with 30 days' written notice.
  • In the event of termination, the Client agrees to pay for all work completed up to the date of termination, including any non-refundable deposits.

9. Limitation of Liability:

The Designer's liability for any claim arising out of this Contract will be limited to the amount paid by the Client.

10. Dispute Resolution:

In the event of a dispute arising out of or in connection with this Contract, the parties agree to attempt to resolve the dispute through good faith negotiation.

If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to mediation or arbitration in accordance with the rules of a mutually agreed-upon arbitration association.

11. Miscellaneous:

  • This Contract constitutes the entire agreement between the parties and supersedes any prior agreements or understandings, whether written or oral.
  • This Contract may be amended or modified only by a written agreement signed by both parties.
  • This Contract is governed by the laws of the state where the Designer is located, without regard to its conflict of laws principles.
